I have to respectably disagree with the other answer with regard to definition of hedge funds. The answer is not correct. The correct answer is supported by links including to the SEC that further explains regulation of this industry.
One should also note that (1) most major hedge funds operate outside the USA, and thus the SEC has no jurisdiction over a foreign business operating completely outside the USA.
And (2) that U.S. investors are often restricted from investing in foreign hedge funds by management because in part that the US qualified investor has to claim on their taxes that they have offshore investments/ income. This can trigger an audit.
